1. Who we are & how these Terms apply

These Terms of Use (“Terms”) govern your access to and use of the Marsbridge Capital website, content, and related online features (collectively, the “Site”). “Marsbridge Capital,” “we,” or “us” means Marsbridge Capital, Kemp House, 124 City Rd, London EC1V 2NX, United Kingdom.

By using the Site, you agree to these Terms. If you are using the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.

If you have a written agreement with Marsbridge Capital (e.g., Engagement Letter, Master Services Agreement, NDA/DPA), that agreement governs where it conflicts with these Terms.

2. Informational only — not investment advice

Content on the Site is for informational purposes only. We do not provide investment, legal, tax, accounting, brokerage, or fiduciary advice through the Site. Nothing on the Site is an offer, solicitation, or recommendation to buy or sell any security or instrument. Past performance is not indicative of future results.

For clarity, Marsbridge Capital does not hold client funds, provide brokerage/custody, or execute trades.

3. Privacy & cookies

4. Changes to the Site or these Terms

We may update the Site and these Terms from time to time. When we change the Terms, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Site after changes means you accept the updated Terms.

5. Intellectual property & permitted use

Unless otherwise noted, all content on the Site—including text, graphics, logos, icons, images, audio/video, data compilations, and code—is owned by Marsbridge Capital or our licensors and protected by intellectual-property laws.

You may view, link to, and share public pages of the Site for your internal, non-commercial use.

You may not copy, reproduce, modify, translate, create derivative works, publicly display, distribute, scrape, or frame any part of the Site without our prior written permission.

Trademarks and logos displayed on the Site are the property of Marsbridge Capital or third parties. Third-party marks and client logos (where shown) are used with permission; no license or right is granted.

If you believe your IP has been used on the Site without authorization, contact legal@marsbridge.com with details.

6. Acceptable use (what you may not do)

You agree not to, and not to help others to:

• Use the Site in any way that violates applicable law or infringes others’ rights.
• Probe, scan, or test the vulnerability of the Site or circumvent security or authentication measures.
• Access data not intended for you, or attempt to interfere with the Site’s operation (e.g., load testing, spam, malware).
• Use robots, spiders, scrapers, data-mining tools, or similar methods without our written permission.
• Reverse engineer, decompile, or attempt to extract the Site’s source code, except as permitted by law.
• Upload or transmit content that is unlawful, defamatory, obscene, fraudulent, or that contains viruses or malicious code.

We may monitor use consistent with our Privacy Policy and may suspend or block access for suspected violations.

7. Your submissions to us

When you submit information through forms (e.g., inquiries, newsletters, or job applications):

• You confirm the information is accurate and you have the right to share it.
• For feedback/testimonials you choose to provide about our services, you grant Marsbridge Capital a non-exclusive, royalty-free license to use and display that feedback on the Site and marketing materials, subject to any NDA or written permissions.

We do not accept unsolicited confidential or proprietary information through the Site. Do not send strategy IP or sensitive data until an NDA is in place.

8. Third-party links & tools

The Site may link to third-party sites, tools, or embeds (e.g., maps, social media, analytics). We do not control and are not responsible for third-party content or practices. Your use of third-party sites is at your own risk and governed by their terms and policies.

9. Disclaimers

The Site and its content are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties—express, implied, or statutory—including warranties of accuracy, non-infringement, merchantability, fitness for a particular purpose, and availability. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

Analyses, forecasts, simulations, and backtests referenced on the Site are hypothetical and subject to known and unknown risks and limitations; actual outcomes may differ materially.

10. Limitation of liability

To the maximum extent permitted by law, Marsbridge Capital and our directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or use, arising out of or related to your use of (or inability to use) the Site—even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from the Site will not exceed £100 or the amount you paid (if any) to use the Site in the 6 months preceding the claim, whichever is greater.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.

11. Indemnification

You agree to indemnify and hold harmless Marsbridge Capital and our directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your submissions, or your violation of these Terms or applicable law.

12. Suspension & termination

We may suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive (e.g., IP, disclaimers, liability limits, indemnity, governing law) will survive termination.

13. Governing law & dispute resolution

These Terms and your use of the Site are governed by the laws of England and Wales, without regard to conflict of laws rules. You agree to the exclusive jurisdiction and venue of the courts located in London, United Kingdom, for all disputes arising out of or relating to the Site or these Terms.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

14. Compliance & international use

You are responsible for complying with local laws when accessing the Site. You may not use, export, or re-export any content or services in violation of applicable sanctions or export laws.

15. Entire agreement; assignment; severability; waiver

These Terms (together with the Privacy Policy and Cookie Policy) constitute the entire agreement between you and Marsbridge Capital regarding the Site. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations as part of a reorganization, merger, or sale of assets.

If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver.
